【本書特色】 經查日本於民國113年一整年之M&A案件數約為4,700件。此4,700件之M&A案件所涉及之總交易金額或價值約為US$1,313億元，（以1美金比新台幣30元之匯率計算）換算為新台幣則約為3兆9,390億元。反觀台灣於民國113年一整年之M&A案件數約為252件，此252件所涉及之總交易金額或價值約為新台幣326億9,400萬元。承作者於本書之二版序所述，許多跨國企業迄今仍是以「併購」滋潤及壯大自己，而相較之下屬較保守之日本這數十年來亦必須藉由「併購」以提升本身之國際競爭力。然保守之日本於民國113年所進行之M&A案件數居然是台灣的18.65倍，而日本於該年之M&A案件所涉及之總交易金額竟然是台灣的120.49倍。職是之故，若欲於短期間提升本身之國際競爭力，台灣企業勢必須更加積極運用M&A活動來強化迎接AI時代並開創台灣新道路。 我國「企業併購法」於91年2月公布施行，並分別於93年5月、104年7月修正公布全文五十四條並於105年1月8日施行。惟「企業併購法」最新修法已於111年完成並於12月15日施行，本次修法之契機源於司法院釋字第七七○號解釋理由書指明本法有未使股東及時獲取涉利害關係之資訊等未竟之業，進而一併針對「股東權益之保障」、「放寬非對稱併購適用範圍」及「擴大彈性租稅措施」進行檢討修正。因應此一修法，筆者除就105年1月8日之後與本書相關之法令予以更新外，並就「企業併購法」111年新修法之處予以分析整理第三版「企業併購法」書籍（共計33多萬字近600頁），本次出版沿續逐條釋義的方式，針對新修正條文及相關法令重編內容，期望本書對企業併購之實務工作者以及企業併購法之研習者有所助益，並共同促進企業併購法制之發展。
