本書以國際的視野闡述和分析了公司財務管理中所涉及的重犬理論與實務問題。作為一本在西方商學教育中具有廣泛影響的教材，歷經多年修訂后，全書內容結構、理論體系日臻完善，可以滿足商學本科、MBA之所需。
全書由六部分組成。第一部分主要介紹了公司財務的一些基本知識，包括公司財務管理目標、金融市場、財務指標及業績評價系統、財務規劃與預測等基礎內容，為讀者的進一步學習提供一個基礎平臺。第二部分主要介紹了估值理論與方法。重點闡述了時間價值、風險與收益的關係、固定收益證券與股票等的估值應用等。第三部分則詳細介紹了資本投資決策所涉及的理論與實務問題，并重點強調資本預算過程中的風險分析。第四部分主要涉及資本成本、資本結構與股利政策理論與實務，它是公司財務理論與實務關注的核心。第五部分主要關注營運資本管理，包括營運資本政策與短期融資以及營運資本主要項目的管理實務。第六部分主要針對現代財務管理中的公司重組問題進行了分析和討論。

James R．McGuigan原為韋恩州立大學（Wayne State University）商學院的財務學副教授，現在他擁有并經營著自己的古錢幣投資公司。他畢業于卡內基·梅隆大學（Carnegie．Mellon University），并在芝加哥大學（University ofChicago）商學研究生院和匹茲堡大學（University ofPittsburgh）分別取得MBA和博士學位。盡管作者已離開大學或研究機構，但并沒有遠離學術界。其主要研究領域是公司財務，并與他人合作在South—Western出版公司出版了《管理經濟學》（Managerial Economics，2005）（第十版）、《現代財務管理基礎》（Contemporary Financial Management Fundamentals，2005）等多部教材和著作。
